Incorporating

Hi!

I wanted to incorporate a business. I think the LLC format is the best one for me, as it is a small operation, and I understand that the LLC offers me protection from liability as well as pass-through taxation.

My research tells me that all I have to do to set up a LLC is register it with the state department of corporations (or similiarly named entity)>

Anyone have experience with this?

yes, you can even file it online in Texas now

you can view this to see the example of what you should look for on the florida secretary of state website (if you are doing this in florida)

however, it would be worthwhile to get the opinion of an attorney just to make sure you are filling out everything correctly. An LLC can be set up in a matter of hours by an attorney for a minimal fee, it is good insurance to avoid costly future mistakes :)

S corp, like a LLP or an LLC, allows you put your revenues into your tax returns - not into a corporate tax return (so you avoid double taxation). You can also avoid Medicare taxes.
